By accessing or using the TalentOS platform, website, mobile applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services. These Terms constitute a legally binding agreement between you and CipherHubAI, LLC ("Company," "we," "us," or "our").

We reserve the right to update or modify these Terms at any time. Material changes will be notified via email or in-app notice at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

TalentOS is an AI-powered career operating system designed to help job seekers and employers streamline the hiring process. Our Services include, but are not limited to, the following core products:

• Resume Intelligence — AI-powered resume analysis, optimization suggestions, keyword targeting, and formatting tools to improve candidate visibility and match scores.
• ApplyMate AI — Automated job application tracking, intelligent job matching, auto-fill capabilities for application forms, and personalized application strategies.
• Interview Coach — AI-driven mock interviews, feedback on responses, role-specific question preparation, and communication skill improvement tools.
• Career Navigator — Career path planning, skill gap analysis, learning recommendations, salary benchmarking, and long-term professional development guidance.
• Employer AI — Tools for recruiters and hiring managers including candidate sourcing, resume screening, applicant ranking, interview scheduling, and hiring analytics.

Features and availability may vary based on your subscription plan. We may add, modify, or discontinue features with reasonable notice where practicable.

To access certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality of your account credentials and not share them with any third party.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use or security breach.
• Be at least 16 years of age, or have parental consent if between 13 and 16.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect are involved in fraudulent or abusive activity.

You agree not to use the Services to:

• Scrape, reverse-engineer, decompile, or attempt to extract the source code of the platform.
• Upload, transmit, or distribute viruses, malware, or any malicious code.
• Misrepresent your identity, qualifications, work history, or any other personal or professional information.
• Submit another person's resume, identity, or credentials without their explicit consent.
• Engage in unlawful, harassing, discriminatory, defamatory, or abusive conduct.
• Use automated scripts, bots, or spiders to access or interact with the Services in unauthorized ways.
• Circumvent any access controls, rate limits, or security measures.
• Harvest or collect email addresses or other personal information of other users without consent.

Recruiters and employers must use candidate data solely for legitimate hiring purposes and in compliance with all applicable employment and privacy laws.

TalentOS leverages artificial intelligence and machine learning models to generate content including resume suggestions, cover letters, interview feedback, job matches, and hiring insights. You acknowledge and agree that:

• All AI-generated content is provided for informational and guidance purposes only.
• AI output should not be considered professional legal, financial, or career advice.
• You are solely responsible for reviewing, editing, and approving any AI-generated content before submitting it to employers or third parties.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs for any specific role, employer, or jurisdiction.
• AI models may occasionally produce incorrect, outdated, or biased content; you must exercise independent judgment.

TalentOS offers free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) in advance. By subscribing, you authorize us to charge your designated payment method.

• Subscriptions renew automatically unless cancelled before the next billing cycle.
• You may upgrade or downgrade your plan at any time from your account settings.
• Downgrades take effect at the end of the current billing period.
• All fees are exclusive of taxes, which will be applied based on your jurisdiction.
• We may change subscription fees with 30 days' advance notice.

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.

• Monthly subscriptions are non-refundable once the billing period has commenced.
• Annual subscriptions may be eligible for a pro-rata refund if cancelled within 14 days of purchase.
• No refunds are provided for partial months or unused features.
• If you believe you were charged in error, contact us within 30 days for review.

All content, software, trademarks, logos, and intellectual property related to TalentOS and CipherHubAI are owned by CipherHubAI, LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You retain ownership of any content you upload, including resumes, profiles, and application materials. By uploading content, you grant us a worldwide, royalty-free license to host, process, display, and transmit your content solely as necessary to operate and improve the Services.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

We employ industry-standard security measures including encryption in transit (TLS 1.2+) and at rest, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute protection of your data.

To the maximum extent permitted by applicable law, CipherHubAI, LLC and its officers, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Damages arising from your reliance on AI-generated content or job match recommendations.
• Any errors, omissions, or inaccuracies in platform content or third-party job listings.
• Outcomes of job applications, interviews, or hiring decisions made using the Services.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to liability, or $100 USD if you have not made any payments.

You agree to indemnify, defend, and hold harmless CipherHubAI, LLC and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Services in violation of these Terms.
• Your violation of any applicable law or the rights of a third party.
• Any content you upload, submit, or transmit through the Services.
• Your negligent or willful misconduct.

We strive to maintain high availability of the Services, but we do not guarantee uninterrupted or error-free access. The Services may be temporarily unavailable for maintenance, updates, or factors beyond our control.

We will make reasonable efforts to provide advance notice of scheduled maintenance. We are not liable for any loss or damage arising from service interruptions.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Services. We are not liable to you or any third party for any modification, suspension, or discontinuation.

You may terminate your account at any time by following the account deletion process in your settings or by contacting us. Upon termination:

• Your right to access the Services immediately ceases.
• Any outstanding fees become due immediately.
• We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.
• Provisions of these Terms that by their nature should survive termination will remain in effect.

We reserve the right to terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

These Terms and any disputes arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
